Excerpt from Transactions of the American Institute of Mining Engineers, Vol. 5: May, 1876, to February, 1877
Council meetings or perform the duties of his office. All vacancies shall be filled by the appointment of the Council, and any person so appointed shall hold Office for the remainder Of the term for which his predecessor was elected or appointed; Provided, that the said appointment shall not render him ineligible at the next annual meeting.
Five members Of the Council shall constitute a quorum; but the Council may appoint an Executive Committee, or business may be transacted at a regularly called meeting of the Council, at which lessthan a quorum is present, subject to the approval of a majority Of the Council, subsequently given in writing to the Secretary, and recorded by him with the minutes.
