Corporate governance is no longer just concerned with the accountability of directors and senior managers to shareholders; the "stakeholder" debate recognizes that corporate decision–making increasingly affects a wider range of groups. Since notions of corporate responsibility and ethics are closely bound up with the legal framework within which companies operate, the reform of corporate law is high on the policy agenda.
Enterprise and Community draws on the work of lawyers, economists and management scientists from several countries. The questions addressed include: what are the implications for the productive efficiency of the firm of a system of company law which maximizes the incidence and scale of hostile take–overs? Can the compensation and job security packages of top executives be justified on the grounds of equity and efficiency?
