Publisher's Synopsis
Corporate governance is the system by which companies are directed and controlled. With the trend towards increasing shareholder influence within companies, the Cadbury Report in December 1992 highlighted the need for directors to look carefully at implementing codes of practice so as to ensure that companies are properly managed. All practitioners in this area will need to have an increasing awareness of the responsibilities owed to shareholders and to be able to assist clients in implementing effective codes of conduct.;This book examines the Cadbury Code of Best Practice (directed to the boards of all listed companies registered in the UK) and, with it, the responsibilities of directors to their other board members and to their shareholders. In particular, it considers the role of non-executive directors within companies, and the duties and responsibilities of auditors. The provisions of the new code on corporate governance for smaller companies (the CISCO Code) are also covered in this text.;This book is designed for practitioners, both solicitors and accountants, and company directors and secretaries whose job it is to implement internal systems.
