The present volume deals with the top tiers of public limited companies in Germany, Austria and Switzerland, examining the commonalities and differences between supervisory board and administrative board, dualistic and monistic structures. Special attention is paid to the different participation regimes. Also discussed are supervisory board qualifications and diversity, conflicts of interest and the independence of supervisory and administrative board members, internal and external communication of the supervisory board, its right of approval, legal protection against erroneous resolutions, and the establishment of an advisory board.
